• Terms of Advertisement Placement for Partners

 

1. Terms.
Company – owner of SEOportal.eu.
Partner – owner of website in which Company offers to place advertisement.
Partner’s website – a website owned or represented by Partner that has a single domain or IP address and in which Company offers to place advertisement.
Client – third party (a company or individual) who has registered in SEOportal.eu system and advertises or plans to advertise by using it.
Advertisement – text and hyperlink provided by Client that is being used within SEOportal.eu advertisement network in order to advertise a certain topic in Client’s website.

2. Mechanism of advertisement placement and terms of payment.
2.1. Advertisement placement and appearance is defined by Partner.
2.2. According to this agreement, Company can place no more than 12 Advertisements in Partner’s website.
2.3. Monthly fee for Advertisement placement in Partner’s website is fixed and determined individually for each Partner and each Partner’s website, and Google PageRank is used as the only criteria.
2.4. On the last day of each current month Partner must send an invoice to Company regarding the Advertisement placement services provided for Company. If this day is a holiday, the invoice must be sent on the next working day to an e-mail address provided in the agreement below.
2.5. If Partner’s invoice is not valid without Partner representative’s signature, it must be sent to Company’s address provided in this agreement below.
2.6. Company’s obligation is to foot the bill provided by Partner within 5 working days from the date the invoice has been received either by e-mail, if it is valid without Partner representative’s signature, or by mail.
2.7. Company provides Partner with an access to SEOportal.eu system in which Partner is able to view the history of Advertisements that have been published in his website as well as his website’s status history. Website’s status for the purposes of this agreement stands for ability to load Partner’s website within 15 seconds and whether Advertisement has been placed in it.
2.8. Website’s status is being automatically checked by SEOportal.eu system twice a day (at 6:00 and 14:00).
2.9. If at a certain day or days SEOportal.eu was not able to fully load Partner’s website or website did not contain Advertisements created by SEOportal.eu system, Partner must withdraw this day from the payment period mentioned in the invoice.

3. Advertisement policy.
3.1. Advertisement policies (further in the text – policies) listed in this section describe SEOportal.eu advertisement policies with regards to products and services. These policies may apply to both Client’s Advertisements and the content of advertised websites.
3.2. Application of our policies will always involve an element of discretion and we reserve the right to reject or approve any Advertisement. Client represents the website and warrants that its website and/or Advertisements comply with all applicable laws.
3.3. Restricted themes in Advertisements and advertised website’s content are:

• Alcohol or products containing alcohol (with exceptions when Client has made additional agreement with Company);
• Drugs and other addictive substances or products or services that can be bound to them;
• Anabolic steroids;
• Gambling;
• Services and products of a sexual content;
• Escort services;
• Firearms and products that are related to firearms;
• Tobacco and products that are related to tobacco;
• Pharmaceuticals (with an exception if Client is able to present a valid permit by State Agency of Medicines of Latvia for advertising particular pharmaceuticals and is able to submit a copy of this permit to Company);
• Statements about influence on health that have not been confirmed by authorized Latvian institutions or organisations;
• Politics;
• Violence;
• Copyrighted material;
• Products made from endangered species;
• Unacceptable business practices;
• Fake goods;
• Fake documents;
• Sensitive issues;
• And other products, services or ideas restricted in laws and regulations of the Republic of Latvia or international laws and regulations that are binding to the Republic of Latvia.

4. Confidentiality.
4.1. Company’s obligation to Partner is to keep confidential all information about Partner, its payments or other means of action within SEOportal.eu system except cases that are provided for by laws or regulations of the Republic of Latvia or international laws and regulations that are binding to the Republic of Latvia.
4.2. Information about Partner can only be used by Company within the topics of SEOportal.eu sphere of activity.

5. SEOportal.eu system’s limitations regarding time.
5.1. SEOportal.eu system’s operations are limitless in time.
5.2. Company has the right to terminate SEOportal.eu system. In case of a planned system’s termination Company is obliged to inform Partner by e-mail about the system’s termination no later than 10 working days before it is plannded to terminate the SEOportal.eu system.

6. Force majeure.
6.1. Company, Client or Partner is not liable for losses that have been caused by flood, fire, earthquakes or other natural disasters, epidemics, wars or authorized institutions.
6.2. In cases when Company is not able to function properly for reasons mentioned above, Company is obliged to inform other parties by e-mail within 5 working days.
6.3. In cases when Client or Partner is not able to fulfil its obligations to Company for reasons mentioned above. their obligation is to inform Company by sending e-mail to info@seoportal.eu with a subject “Force Majeure” within 5 working days.

7. Other terms.
7.1. Partner affirms that he/she is authorized to represent Partner’s websites in which Advertisements will be published by SEOportal.eu system.
7.2. Company has the right to change or expand this agreement unilaterally. All changes made by Company must be published as news in SEOportal.eu system.
7.3. In cases when Partner does not agree to changes or expansions in the agreement, he/she has the right to terminate said agreement. In case of agreement termination, Partner must send an e-mail to info@seoportal.eu with subject “Termination of agreement” within 5 working days. Otherwise changes or expansions in the agreement are binding to both parties.
7.4. SEOportal.eu system is being organised in compliance with laws and regulations of the Republic of Latvia.
7.5. All disagreements between parties according to SEOportal.eu system’s operations should be solved by means of negotiations. If disagreements can’t be solved by means of negotiations, then they may be solved in accordance with established laws and regulations of the Republic of Latvia.
